ThisMainServicesAgreement(“
Agreement
”)isforYouruseoftheDeveloperServicestodevelopandmaintainapplications
and services that interoperate with or complement Our online platform and/or applications.

FORMTHATREFERENCESTHISAGREEMENT,ORBYACCESSINGTHEDEVELOPERSERVICES.BYACCEPTINGTHISAGREEMENT,
YOU AGREE TO ITS TERMS. IF YOU ARE ENTERING INTOTHISAGREEMENTONBEHALFOFACOMPANYOROTHERLEGAL
ENTITY,YOUREPRESENTTHATYOUHAVETHEAUTHORITYTOBINDSUCHENTITYANDITSAFFILIATESTOTHESETERMSAND
CONDITIONS,INWHICHCASETHETERMS“YOU”OR“YOUR”SHALLREFERTOSUCHENTITYANDITSAFFILIATES.IFYOUDO
NOT HAVE SUCH AUTHORITY, OR IFYOUDONOTAGREEWITHTHESETERMSANDCONDITIONS,YOUMUSTNOTACCEPT
THIS AGREEMENT AND MAY NOT USE THE DEVELOPER SERVICES. WE MAY CHANGE THIS AGREEMENT BY POSTING A

A.PDF OR ANY OTHER APPLICABLE WEBSITE OF OURS AND SUCH UPDATES WILL BE EFFECTIVE UPON THE 30TH DAY
FOLLOWINGSUCHPOSTING.YOURUSEOFANYDEVELOPERSERVICEFOLLOWINGANYCHANGESTOTHISAGREEMENTWILL
CONSTITUTE YOUR ACCEPTANCE OF THOSE CHANGES TO THIS AGREEMENT, AS APPLICABLE.
This Agreement was last updated on December 12, 2024. It is effective between You and Us as of the date of You accept this
Agreement.
You may not, without Our prior written consent, access or use the Developer Services :
•
for production purposes, or
•
if You are Our direct competitor, or
•
to monitor the availability, performance, or functionality of the Developer Services, or
•
for any other benchmarking or competitive purposes.
Any violation of the preceding sentence shall be deemed a material breach of this Agreement.
In addition, You may only access or use Our services, including the Developer Services, to develop, operate, authenticate,
integrate to or distribute Your Application for use by a third party if Your Application is enrolled in Our AppExchange Partner
Program. Notwithstanding the foregoing, You are notrequired to enroll Your Application in Our AppExchange Partner
Program if (i) Your Application is not a Commercially Distributed Application and does not connect to another product or
service that is a Commercially Distributed Application or (ii) Your Application has been created for use by a single third party.
For the avoidance of doubt, please note that if Your Application is enrolled in Our AppExchange Partner Program, it is
subject to the terms of the Salesforce Partner Program Agreement, the AppExchange Program Policies, and any other
agreements You have entered into with Us regarding the distribution of Your Application. If we determine that You have
violated this paragraph, such violation shall be deemed a material breach of this Agreement.
1.
DEFINITIONS
“Affiliate”
means any entity which directly or indirectly controls, is controlled by, or is under common control withthe
subjectentity.“Control,”forpurposesofthisdefinition,meansdirectorindirectownershiporcontrolofmorethan50%of
the voting interests of the subject entity.
“AppExchange”
means
the
online
directory of applications that interoperate with the Developer Services, located at
http://www.salesforce.com/appexchange
or at any successorwebsites.
“BasicDeveloperServices”
meanstheDeveloperEdition,andanyotherversionsWedesignateasdeveloperversions,ofthe
online,
Web-based
applications
and
platform
We
provide
via
http://www.salesforce.com
and/or
http://developer.salesforce.com
thatWemakegenerallyavailabletoOurdevelopercommunityatnocharge,excludingtools

and resources accessible outside the above-described applications and platform andexcludingDeveloperResourcesand
Non-SFDC Applications.
"
CommerciallyDistributedApplication”
meansanapplicationwhereinstallation,access,and/oruseofanyversionofthe
application or its features and capabilities require the payment of fees of any kind (including, e.g., if the application
integratesintoormakesuseofanyapplicationorotherproductorserviceforwhichfeesarecollected,oriftheapplication
is provided under a “freemium” payment model).
“Content”
means information obtained by SFDC from publicly available sources or its third-party content providersand
made available to You through the Developer Services.
“Developer
Resources”
means
the
content,
information,
resources,
documentation,
code,
tools,
toolkits,
developer
environments and/or communities, contests, promotions and/or programs accessible via
http://developer.salesforce.com
.
“Developer Services”
means Basic Developer Servicesand Supplemental Developer Services.
“Malicious Code”
means code, files, scripts, agents or programs intended to do harm, including, for example, viruses,
worms, time bombs and Trojan horses.
“
Marketplace
” means an online directory, catalog or marketplace of applications that interoperate with the Developer
Services,
including,
for
example,
the
AppExchange
at
http://www.salesforce.com/appexchange
,
Mulesoft
Anypoint
Exchange at
https://www.mulesoft.com/exchange
,ortheHerokuElementsMarketplaceat
https://elements.heroku.com/
,
and any successor websites.
“OrderForm”
meanstheorderingdocumentsforanypurchasesofSupplementalDeveloperServiceshereunder,including
addendathereto,thatareenteredintobyYouandUsfromtimetotime.OrderFormsshallbedeemedincorporatedherein
by reference.
“Supplemental Developer Services''
means any versions We designate as developer versions of the online, Web-based
applications
and
platform
We provide via
http://www.salesforce.com
and/or
http://developer.salesforce.com
, and any
versions of other services We provide and designate as developer versions, that we make generally available to Our
developer community for a feeandthatYouorderunderanOrderForm.SupplementalDeveloperServicesexcludeBasic
Developer Services, Developer Resources and Non-SFDC Applications.
“Non-SFDC Application”
means Web-based, mobile, offline or other software functionality that interoperates with the
Developer Services, thatisprovidedbyathirdpartyand/orlistedonaMarketplaceincludingasSalesforceLabsorunder
similar designation. Non-SFDC Applications will be identifiable as such.
“User”
means,inthecaseofanindividualacceptingthesetermsonhisorherownbehalf,suchindividual,or,inthecaseof
anindividualacceptingthisAgreementonbehalfofacompanyorotherlegalentity,anindividualwhoisauthorizedbyYou
tousetheDeveloperServicesandtowhomYou(or,whenapplicable,WeatYourrequest)havesuppliedauseridentification
and
password
(for
Developer
Services
utilizing
authentication).
Users
may
include,
for
example,
Your
employees,
consultants, contractors and agents, and third parties with which You transact business.
“UserSubscription”
meansasubscriptiongrantedbyUstoYouforDeveloperServices,whichisassignedbyYoutoaUser.
The
duration
of
any
User
Subscription
shall
be
as
described in Section 10.2 (Term of Basic Developer Service User
Subscriptions) or Section 11.7.a (Term of Supplemental Developer Service User Subscriptions), as applicable.
“We,” “Us”
or
“Our”
means the Salesforce (“SFDC”)companydescribedinSection13(WhomYouAreContractingWith,
Notices, Governing Law and Jurisdiction).
“You”
or
“Your”
meansinthecaseofanindividualacceptingthisAgreementonhisorherownbehalf,suchindividual,orin
thecaseofanindividualacceptingthisAgreementonbehalfofacompanyorotherlegalentity,thecompanyorotherlegal
entity for which such individual is accepting this Agreement.
“YourApplication”
meansanonlineapplicationthatYoucreateusing,andthatinteroperateswith,theDeveloperServices
or Salesforce services.
“Your Data”
means all electronic data or informationsubmitted by You to the Developer Services.
2.
PROVISION AND USE OF DEVELOPER SERVICES AND CONTENT
2.1. Provision of Developer Services
. We shall makethe Developer Services available to You pursuant to this Agreement.
2.2.
User
Subscriptions.
Unless
otherwise
agreed
in
writing
by
Us,
Developer
Services
are
made
available as User
SubscriptionsandmaybeaccessedbyanumberofUsersnogreaterthanthenumberofuserIDsweallocatetoYou.User

SubscriptionsarefordesignatedUsersandcannotbesharedorusedbymorethanoneUserbutmaybereassignedtonew
Users replacing former Users who no longer require ongoing use of the Developer Services.
2.3. Our Responsibilities.
We shall use commercially reasonable efforts to: (i) make theDeveloperServicesavailable24
hoursaday,7daysaweek,exceptfor:(a)planneddowntime(ofwhichWeshallgiveadvanceelectronicnotice),or(b)any
unavailability caused by circumstances beyond Our reasonable control, including without limitation, acts ofGod,actsof
government,flood,fire,earthquakes,civilunrest,actsofterror,strikesorotherlaborproblems(otherthanthoseinvolving
Our employees), Internet service provider failures or delays, Non-SFDC Applications, or denialofserviceattacks,and(ii)
provide
the
Developer
Services
in
accordance
with
laws
and government regulations applicable to Our provision of
DeveloperServicestousersgenerally(i.e.,withoutregardforYourparticularuseoftheDeveloperServices),andsubjectto
Users’
use
of
the
Developer
Services
in
accordance
with
this
Agreement
and
the
documentation
accessible
via
http://developer.salesforce.com/docs
(“DeveloperDocumentation”).TheBasicDeveloperServicesexcludesupport.Wemay
makedevelopersupportavailableseparatelyasaSupplementalDeveloperServiceorthroughotherprogramsfromtimeto
time.
2.4. Your Responsibilities.
You shall (i) be responsible for Users’ compliance with this Agreement and the Developer
Documentation, (ii)besolelyresponsiblefortheaccuracy,quality,integrityandlegalityofYourData,themeansbywhich
You acquired Your Data, Your use of Your Data with the Developer Services, and the interoperation of any Non-SFDC
Applications with which You use the Developer Services or Content, (iii) use commercially reasonableeffortstoprevent
unauthorizedaccesstooruseoftheDeveloperServices,andnotifyUspromptlyofanysuchunauthorizedaccessoruse,(iv)
use the Developer Services and Content only in accordance with this Agreement, the Developer Documentation, the
Acceptable Use and External-Facing Services Policy and the ArtificialIntelligenceAcceptableUsePolicy,bothavailableat
https://www.salesforce.com/company/legal/,andapplicablelawsandregulations,and(v)complywithtermsofserviceof
anyNon-SFDCApplicationswithwhichYouuseDeveloperServicesorContent.AnyuseoftheDeveloperServicesinbreach
of theforegoingbyYouorUsersthatinOurjudgmentthreatensthesecurity,integrityoravailabilityofOurservices,may
result in Our immediate suspension of the Developer Services.
2.5.UsageRestrictionsandLimitations.
Youshallnot(a)maketheDeveloperServicesorContentavailabletoanypersonor
entityotherthanUsers,(b)sell,resell,rentorleasetheDeveloperServicesorContent,orincludetheDeveloperServicesor
Content in a servicebureauoroutsourcingoffering,(c)usetheDeveloperServicesoraNon-SFDCApplicationtostoreor
transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of
third-partyprivacyorconfidentialityrights,(d)usetheDeveloperServicestostoreortransmitMaliciousCode,(e)interfere
withordisrupttheintegrityorperformanceoftheDeveloperServicesorthird-partydatacontainedtherein,(f)attemptto
gain unauthorized access to the Developer Services or Contentortheirrelatedsystemsornetworks,(g)permitdirector
indirectaccesstooruseofanyDeveloperServicesorContentinawaythatcircumventsanycontractualusagelimit,oruse
anyDeveloperServicestoaccess,copyoruseanyofOurintellectualpropertyexceptaspermittedunderthisAgreementor
the Developer Documentation, (h) modify, copy, or createderivativeworksbasedontheDeveloperServicesoranypart,
feature,functionoruserinterfacethereof,(i)copyContentexceptaspermittedhereinorintheDeveloperDocumentation,
(j)frameormirroranypartoftheDeveloperServicesorContent,otherthanframingonYourownintranetsorotherwisefor
YourowninternalbusinesspurposesoraspermittedintheDeveloperDocumentation,(k)excepttotheextentpermittedby
applicable law, disassemble, reverse engineer, or decompile the Developer ServicesorContentoraccessitto(1)builda
product or service competitive with the Developer Services, (2) build a product or service using similar ideas, features,
functionsorgraphicsoftheDeveloperServices,(3)copyanyideas,features,functionsorgraphicsoftheDeveloperServices,
or (4) determine whether the Developer Services are within the scope of any patent, or(l)submitpersonaldatatothe
Developer Services. Developer Services may be subject to other limitations, such as, for example, limitsondiskstorage
space, on the number of calls You are permitted to make against Our application programming interface(s), and, for
DeveloperServicesthatenableYoutoprovidepublicwebsites,onthenumberofpageviewsbyvisitorstothosewebsites.
Any such limitations are specified in the Developer Documentation.
2.6.
RemovalofContentandNon-SFDCApplications.
IfYoureceivenotice,includingfromUs,thatContentmadeavailable
to You through the Developer Services oraNon-SFDCApplicationmaynolongerbeusedormustberemoved,modified
and/or disabled to avoid violating applicable law, third-party rights, or Our Acceptable Use and External-FacingServices
PolicyorArtificialIntelligenceAcceptableUsePolicy,Youwillpromptlydoso.IfYoudonottakerequiredaction,including
deleting any Content You may have downloadedfromtheDeveloperServices,inaccordancewiththeabove,orifinOur
judgment
continued
violation
is
likely
to
reoccur,
We may disable the applicable Content, Developer Service and/or
Non-SFDC Application. If requested by Us, You shall confirm deletion and discontinuance of useofsuchContentand/or
Non-SFDCApplicationinwritingandWeshallbeauthorizedtoprovideacopyofsuchconfirmationtoanysuchthird-party
claimantorgovernmentalauthority,asapplicable.Inaddition,ifWearerequiredbyanythird-partyrightsholdertoremove

Content, or receive information that Content provided to You may violate applicable law or third-party rights, We may
discontinue Your access to it through the Developer Services.
2.7.UseofDeveloperResources
.YoumayuseDeveloperResourcesinconnectionwiththeDeveloperServiceshereunder,
subject to the Salesforce Program Agreement posted at
https://www.salesforce.com/company/program-agreement/
.
3.
THIRD-PARTY PROVIDERS
3.1.YourAcquisitionofThird-PartyProductsandServices.
Weorthirdpartiesmaymakeavailable(forexample,througha
Marketplace
or
otherwise)
third-party
products
or
services,
including,
for
example,
Non-SFDC
Applications
and
implementationandotherconsultingservices.AnyacquisitionbyYouofthird-partyproductsorservices,includingbutnot
limited to Non-SFDC Applications and implementation, customizationandotherconsultingservices,andanyexchangeof
databetweenYouandanythird-partyprovider,aresolelybetweenYouandtheapplicablethird-partyprovider.Wedonot
warrant or support third-party products or services, whether or not they are designated by Us as “certified” or otherwise.
3.2.DeveloperServiceFeaturesthatIntegratewithThird-PartyServices.
TheDeveloperServicescontainfeaturesdesigned
tointeroperatewiththird-partyservices.SuchDeveloperServicefeaturesdependonthosethird-partyproviderscontinuing
to make their services, including their application programming interfaces (“
APIs
”) where applicable, available for the
DeveloperServices.Ifanythird-partyproviderceasestomakeitsapplicableservicesorAPIsavailableonreasonableterms
fortheDeveloperServices,WemayceaseprovidingthecorrespondingfeatureswithoutentitlingYoutoanyrefund,credit,
or other compensation.
4.
NO FEES FOR BASIC DEVELOPER SERVICES
WecurrentlyprovidetheBasicDeveloperServicesatnocharge.WereservetherighttochangeourpricingpoliciesforBasic
Developer Services at any time in Our sole discretion. We will provide you reasonable electronic notice of any such changes.
5.
PROPRIETARY RIGHTS AND LICENSES
5.1. Reservation of Rights.
Subject to the limited rights expressly granted hereunder, We, our Affiliates, licensors and
Content providers reserve all rights, title and interest inandtotheDeveloperServicesandContent,includingallrelated
intellectual property rights. No rights are granted to You hereunder other than as expressly set forth herein.
5.2. License by You toSFDC.
Yougrant
Us,OurAffiliatesandapplicablecontractorsaworldwide,limited-termlicenseto
host, copy, use, transmit and display Your Applications and any program code that You or any User create using the
Developer Services, and Your Data, each as appropriate for UstoprovideandensureproperoperationoftheDeveloper
ServicesandassociatedsystemsinaccordancewiththisAgreement.IfYouchoosetouseaNon-SFDCApplicationwiththe
DeveloperServices,YougrantUspermissiontoallowthatapplicationanditsprovidertoaccessYourDataandinformation
aboutYourusageofthatapplicationasappropriatefortheinteroperationofthatapplicationwiththeDeveloperServices.
Subject to the limited licenses grantedherein,Weacquirenoright,titleorinterestfromYouorYourlicensorsunderthis
Agreement in or to Your Applications, any of Your Data, Non-SFDC Applications or such program code.
5.3. License to Use Feedback.
You grantUsandOurAffiliatesaroyalty-free,worldwide,irrevocable,perpetuallicenseto
use,
distribute,
disclose,
and
make
and
incorporate
into
Our
services
any
suggestion,
enhancement
request,
recommendation,correctionorotherfeedbackprovidedbyYouorUsersrelatingtotheoperationofOursorOurAffiliates’
services.
5.4.
Federal
Government
End
Use
Provisions.
We
provide
the
Developer
Services,
including
related
software
and
technology, for ultimate federal government end usesolelyinaccordancewiththefollowing:Governmenttechnicaldata
andsoftwarerightsrelatedtotheDeveloperServicesincludeonlythoserightscustomarilyprovidedtothepublicasdefined
inthisAgreement.ThiscustomarycommerciallicenseisprovidedinaccordancewithFAR12.211(TechnicalData)andFAR
12.212(Software)and,forDepartmentofDefensetransactions,DFAR252.227-7015(TechnicalData–CommercialItems)
and DFAR 227.7202-3 (Rights inCommercialComputerSoftwareorComputerSoftwareDocumentation).Ifagovernment
agencyhasaneedforrightsnotconveyedundertheseterms,itmustnegotiatewithUstodetermineifthereareacceptable
termsfortransferringsuchrights,andamutuallyacceptablewrittenaddendumspecificallyconveyingsuchrightsmustbe
included in any applicable contract or agreement.
5.5.
Competitive
Applications.
Subject
to
Our and Your respective rights and obligations under this Agreement, We
acknowledgethatYoumaydevelopandmakeavailableproductsandservicesthataresimilartoorotherwisecompetewith
Ourproductsandservices,andYouacknowledgethatWemaydevelopandmakeavailableproductsandservicesthatare
similar to or otherwise compete with Your products and services.

6.
CONFIDENTIALITY
6.1.
Definition
of
Confidential
Information.
“Confidential
Information”
means
all
information
disclosed
by
a
party
(“DisclosingParty”)totheotherparty(“ReceivingParty”),whetherorallyorinwriting,thatisdesignatedasconfidentialor
that reasonably should be understood to be confidential given the nature of the information and the circumstances of
disclosure.YourConfidentialInformationincludesYourDataandYourApplication;OurConfidentialInformationincludesthe
Developer Services, Content and the terms and conditions of this Agreement. Confidential Information of each party
includes business and marketing plans, technology and technical information, product plans and designs, and business
processes
disclosed
by
such party. However, Confidential Information does not include any information that (i) is or
becomesgenerallyknowntothepublicwithoutbreachofanyobligationowedtotheDisclosingParty,(ii)wasknowntothe
ReceivingPartypriortoitsdisclosurebytheDisclosingPartywithoutbreachofanyobligationowedtotheDisclosingParty,
(iii)isreceivedfromathirdpartywithoutknowledgeofanybreachofanyobligationowedtotheDisclosingParty,or(iv)was
independentlydevelopedbytheReceivingParty.Fortheavoidanceofdoubt,thenon-disclosureobligationssetforthinthis
“Confidentiality”
section
apply
to
Confidential
Information
exchanged
between
the
parties
in
connection
with
the
evaluation of additional services offered by Us.
6.2. Protection of Confidential Information.
As between theparties,eachpartyretainsallownershiprightsinandtoits
ConfidentialInformation.TheReceivingPartywillusethesamedegreeofcarethatitusestoprotecttheconfidentialityof
itsownconfidentialinformationoflikekind(butnotlessthanreasonablecare)to(i)notuseanyConfidentialInformationof
the Disclosing Party for any purpose outside the scope of thisAgreementand(ii)exceptasotherwiseauthorizedbythe
Disclosing Partyinwriting,limitaccesstoConfidentialInformationoftheDisclosingPartytothoseofitsanditsAffiliates’
employees and contractors who need that access for purposes consistent with this Agreement and who have signed
confidentialityagreementswiththeReceivingPartycontainingprotectionsnotmateriallylessprotectiveoftheConfidential
Information than those herein. Neither party will disclose the terms of this Agreement toanythirdpartyotherthanits
Affiliates,legalcounselandaccountantswithouttheotherparty’spriorwrittenconsent,providedthatapartythatmakes
anysuchdisclosuretoitsAffiliate,legalcounseloraccountantswillremainresponsibleforsuchAffiliate’s,legalcounsel’sor
accountants’compliancewiththis“Confidentiality”section.Notwithstandingtheforegoing,Wemaydisclosethetermsof
thisAgreementtoacontractororNon-SFDCApplicationprovidertotheextentnecessarytoperformOurobligationsunder
this Agreement, under terms of confidentiality materially as protective as set forth herein.
6.3.
Compelled
Disclosure.
The
Receiving
Party
may disclose Confidential Information of the Disclosing Party if it is
compelledbylawtodoso,providedtheReceivingPartygivestheDisclosingPartypriornoticeofsuchcompelleddisclosure
(to theextentlegallypermitted)andreasonableassistance,attheDisclosingParty’scost,iftheDisclosingPartywishesto
contestthedisclosure.IftheReceivingPartyiscompelledbylawtodisclosetheDisclosingParty’sConfidentialInformation
aspartofacivilproceedingtowhichtheDisclosingPartyisaparty,andtheDisclosingPartyisnotcontestingthedisclosure,
the DisclosingPartywillreimbursetheReceivingPartyforitsreasonablecostofcompilingandprovidingsecureaccessto
such Confidential Information.
7.
LIMITED WARRANTIES AND DISCLAIMERS
EachpartyrepresentsandwarrantsthatithasthelegalpowertoenterintothisAgreement.EXCEPTASPROVIDEDINTHE
PRECEDINGSENTENCEANDINSECTION11.5(WARRANTIESREGARDINGSUPPLEMENTALDEVELOPERSERVICES)BELOW,THE
DEVELOPER SERVICES AREPROVIDED“AS-IS”WITHOUTANYWARRANTY.WITHOUTLIMITINGTHEFOREGOING,SFDCAND
ITS AFFILIATES DO NOT REPRESENT OR WARRANT THAT (A) YOUR USE OF THE DEVELOPER SERVICES WILL MEET YOUR
REQUIREMENTS, (B) YOUR USE OF THE DEVELOPER SERVICES WILL BEUNINTERRUPTED,TIMELY,SECUREORFREEFROM
ERROR,(C)USAGEDATAPROVIDEDTHROUGHTHEDEVELOPERSERVICESWILLBEACCURATE,AND(D)
DATASUBMITTEDBY
YOU TO THE DEVELOPER SERVICES IN VIOLATION OF SECTION 2.5(K) WILL BE PROCESSED BY US IN ACCORDANCEWITH
YOUR REQUIREMENTS
. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE “LIMITATION OF LIABILITY” SECTION
BELOW, YOU SHALL BE FULLY LIABLE UNDER THIS AGREEMENT TOUSANDOURAFFILIATESFORANYDAMAGESARISING
OUTOFYOURUSEOFTHEDEVELOPERSERVICES,ANYBREACHBYYOUORYOURUSERSOFTHISAGREEMENTANDANYOF
YOUR INDEMNIFICATION OBLIGATIONS HEREUNDER.
8.
INDEMNIFICATION
YouwilldefendUsandourAffiliatesagainstanyclaim,demand,suitorproceedingmadeorbroughtagainstUsbyathird
party (a) alleging that the combination of a Non-SFDC Application or configuration provided by You and used with the
Developer Services, infringes or misappropriates suchthirdparty’sintellectualpropertyrights,or(b)arisingfrom(i)Your
use of the Developer Services or Content in an unlawful manner or in violation of the Agreement or the Developer
Documentation,(ii)anyofYourDataorYouruseofYourDatawiththeDeveloperServices,or(iii)aNon-SFDCApplication
provided by You (each a “Claim Against SFDC”), and willindemnifyUsfromanydamages,attorneyfeesandcostsfinally
awardedagainstUsasaresultof,orforanyamountspaidbyUsunderasettlementapprovedbyYouinwritingof,aClaim

AgainstSFDC,providedWe(a)promptlygiveYouwrittennoticeoftheClaimAgainstSFDC,(b)giveYousolecontrolofthe
defense and settlement of the Claim Against SFDC (except that You may not settle any Claim Against SFDC unless You
unconditionallyreleaseUsofallliability),and(c)giveYouallreasonableassistance,atYourexpense.Theabovedefenseand
indemnification obligations do not apply if a Claim Against SFDC arises from Our breach of this Agreement.
9.
LIMITATION OF LIABILITY
9.1.LimitationofLiability.
WESHALLHAVENOLIABILITYOFANYTYPEWITHRESPECTTOTHISAGREEMENTUNLESSSUCH
EXCLUSION

LIABILITY

NOT
ENFORCEABLE UNDER APPLICABLE LAW IN WHICH CASE OUR AGGREGATE LIABILITY
ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHERTHEORYOF
LIABILITY, SHALL NOT EXCEED $1,000.
9.2.ExclusionofConsequentialandRelatedDamages.
INNOEVENTSHALLWEHAVEANYLIABILITYTOYOUFORANYLOST
PROFITS, REVENUES, OR GOODWILL, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, BUSINESS
INTERRUPTION,ORPUNITIVEDAMAGESHOWEVERCAUSED,WHETHERINCONTRACT,TORTORUNDERANYOTHERTHEORY
OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGESORIFTHE
PARTYORITSAFFILIATES’REMEDYOTHERWISEFAILSOFITSESSENTIALPURPOSE.THEFOREGOINGDISCLAIMERSHALLNOT
APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
10. TERM AND TERMINATION
10.1.TermofAgreement.
ThisAgreementcommencesonthedateYouacceptitandcontinuesuntilallUserSubscriptions
granted in accordance with this Agreement have expired or been terminated in accordance with Section 10.3 (Termination).
10.2. Term of BasicDeveloperServiceUserSubscriptions.
UserSubscriptionsforBasicDeveloperServicescommenceon
the
date
you
accept
this
Agreement and continue until terminated by either party in accordance with Section 10.3
(Termination).
10.3.Termination.
YoumayterminateBasicDeveloperServiceUserSubscriptionswithoutcauseatanytimeuponwritten
notice to Us. We may terminate Basic Developer Service User Subscriptions (i)atanytimewithoutcauseupon30days’
writtennoticetoYou,(ii)uponnoticetoYouifYourBasicDeveloperServiceshavenotbeenaccessedbyaUserforsix(6)
monthsorlonger,or(iii)uponwrittennoticetoYouofamaterialbreachofthisAgreement.Notwithstandingtheabove,to
the
extent
any Basic Developer Service User Subscriptions are required to use Supplemental Developer Service User
Subscriptions,theparties’rightstoterminatesuchBasicDeveloperServiceUserSubscriptionswillbegovernedbySection
11.7(b) (Termination of Agreement for Cause) instead of this Section.
10.4.ReturnofYourData.
UponrequestbyYoumadewithin30daysaftertheeffectivedateofterminationorexpirationof
thisAgreement,WewillmakeYourDataavailabletoYouforexportordownload.Aftersuch30-dayperiod,Wewillhaveno
obligation to maintain or provide any of Your Data, and will thereafter delete or destroy all copies of Your Data inOur
systems or otherwise in Our possession or control, unless legally prohibited.
10.5. Loss ofApplicationsandMaterials.
UPONANYTERMINATIONOFTHISAGREEMENT,ALLAPPLICATIONSANDOTHER
MATERIALSDEVELOPEDBYYOUUSINGTHEDEVELOPERSERVICESANDHOSTEDONOURPLATFORMWILLBEPERMANENTLY
LOST.
10.6. Surviving Provisions.
Sections 5 (Proprietary Rights and Licenses), 6 (Confidentiality), 7 (Limited Warranties and
Disclaimers),8(Indemnification),9(LimitationofLiability),10.4(ReturnofYourData),11.4(ConfidentialityofSupplemental
DeveloperServicesTermsandPricing),11.5(WarrantiesRegardingSupplementalDeveloperServices),11.6(Indemnification
forSupplementalDeveloperServices),13(WhomYouAreContractingWith,Notices,GoverningLawandJurisdiction)and14
(General Provisions) shall survive any termination or expiration of this Agreement.
11. ADDITIONAL TERMS APPLICABLE TO SUPPLEMENTAL DEVELOPER SERVICES
11.1.TermsLimitedtoSupplementalDeveloperServices
.TheprovisionsinthisSection11(AdditionalTermsApplicableto
SupplementalDeveloperServices)applyonlytoSupplementalDeveloperServicesorderedhereunder,andareinadditionto
the other provisions in this Agreement.
11.2. Supplemental Developer Services
.
a.
ProvisionofSupplementalDeveloperServices.WeshallmaketheSupplementalDeveloperServicesavailabletoYou
pursuant to this Agreement and the relevant Order Forms during a subscription term.
b.
User Subscriptions. Unless otherwise specified in the applicable Order Form or Developer Documentation, (i)
SupplementalDeveloperServicesmaybeaccessedbynomorethanthespecifiednumberofUsers,(ii)additional
User Subscriptions may be added during the subscription term at the same pricing as that for the pre-existing

subscriptions,
prorated
for the remainder of the subscription term in effect at the time the additional User
Subscriptionsareadded,and(iii)theaddedUserSubscriptionsshallterminateonthesamedateasthepre-existing
subscriptions. You agree that Your purchases are not contingent on the delivery of any future functionality or
features, or dependent on any oral or written public comments made by Us regarding future functionality or
features.
11.3. Fees and Payment for Supplemental Developer Services
.
a.
UserFees.YoushallpayallfeesspecifiedinallOrderFormshereunder.Exceptasotherwisespecifiedhereinorin
anOrderForm,(i)feesarequotedandpayableinUnitedStatesdollars,(ii)feesarebasedonservicespurchased
and not actualusage,(iii)paymentobligationsarenon-cancelableandfeespaidarenon-refundable,and(iv)the
numberofUserSubscriptionspurchasedcannotbedecreasedduringtherelevantsubscriptiontermstatedonthe
Order Form.
b.
InvoicingandPayment.YouwillprovideUswithvalidandupdatedcreditcardinformation,orwithavalidpurchase
order or alternative document reasonably acceptable to Us. If You provide credit card information to Us, You
authorize Us to charge such credit cardforallSupplementalDeveloperServiceslistedintheOrderFormforthe
initialsubscriptiontermandanyrenewalsubscriptionterm(s)assetforthinSection11.7.a(TermofSupplemental
Developer Service User Subscriptions). Such charges shall be madeinadvance,eitherannuallyorinaccordance
withanydifferentbillingfrequencystatedintheapplicableOrderForm.IftheOrderFormspecifiesthatpayment
willbebyamethodotherthanacreditcard,WewillinvoiceYouinadvanceandotherwiseinaccordancewiththe
relevant Order Form. Unless otherwisestatedintheOrderForm,invoicedchargesareduenet30daysfromthe
invoice date. You are responsible for maintaining complete and accurate billing and contact information with Us.
c.
OverdueCharges.IfanyinvoicedamountisnotreceivedbyUsbytheduedate,thenwithoutlimitingSFDC’srights
orremedies,(a)thosechargesmayaccruelateinterestattherateof1.5%oftheoutstandingbalancepermonth,
or the maximum rate permitted by law, whichever is lower, and/or (b) We may condition future subscription
renewals
and
Order
Forms
on
payment
terms
shorter than those specified in the “Invoicing and Payment”
paragraph above.
d.
Suspension
of
Service
and Acceleration. If any charge owing by You under this or any other agreement for
DeveloperServicesis30ormoredaysoverdue(exceptchargesthenunderreasonableandgoodfaithdispute),We
may,withoutlimitingOurotherrightsandremedies,accelerateYourunpaidfeeobligationsundersuchagreements
so that all such obligations become immediately due and payable, and suspend Developer Services until such
amounts are paid in full.
e.
Payment Disputes. We will not exercise Our rights under the “Overdue Charges” or“SuspensionofServiceand
Acceleration” paragraphs above if Youaredisputingtheapplicablechargesreasonablyandingoodfaithandare
cooperating diligently to resolve the dispute.
f.
Taxes.
Our
fees
do not include any taxes, levies, duties or similar governmental assessments of any nature,
includingbutnotlimitedtovalue-added,sales,useorwithholdingtaxes,assessablebyanyjurisdictionwhatsoever
(collectively, “Taxes”). You are responsible for paying all Taxes associated with Your purchases hereunder.IfWe
havethelegalobligationtopayorcollectTaxesforwhichYouareresponsibleunderthisparagraph,Wewillinvoice
You,andYouwillpaythatamountunlessYouprovideUswithavalidtaxexemptioncertificateauthorizedbythe
appropriate taxing authority. For clarity, We are solely responsible fortaxesassessableagainstUsbasedonOur
income, property and employees.
11.4.
Confidentiality of Supplemental Developer Services Terms and Pricing
. In addition to the terms of Section 6
(Confidentiality)
above,
the
terms
and
pricing
under any Order Forms for Supplemental Developer Services shall be
considered Our Confidential Information.
11.5.
Warranties Regarding Supplemental Developer Services
.
DeveloperServices.Wewarrantthat(i)theSupplementalDeveloperServicesshallperformmateriallyinaccordancewith
the DeveloperDocumentation,and(ii)subjecttoSection3.3(DeveloperServiceFeaturesthatIntegratewithThird-Party
Services),thefunctionalityoftheSupplementalDeveloperServiceswillnotbemateriallydecreasedduringasubscription
term.Foranybreachofeithersuchwarranty,YourexclusiveremedyshallbeasprovidedinSections11.7.b(Termination
for Cause) and 11.7.c (Refund or Payment upon Termination) below.
11.6.
Indemnification for Supplemental Developer Services.
a.
IndemnificationbyUsforSupplementalDeveloperServices.WeshalldefendYouagainstanyclaim,demand,suit,
or proceeding (“
Claim
”) made or brought against YoubyathirdpartyallegingthattheSupplementalDeveloper

Services, used as permitted hereunder, infringe or misappropriate the intellectual property rights of such third
party,andshallindemnifyYouforanydamages,attorneyfeesandcostsfinallyawardedagainstYouasaresultof,
or for amounts paid by You under a settlement approved by Us in writing of, a Claim, provided that You (a)
promptlygiveUswrittennoticeoftheClaim;(b)giveUssolecontrolofthedefenseandsettlementoftheClaim
(exceptthatWemaynotsettleanyClaimunlessthesettlementunconditionallyreleasesYouofallliability);and(c)
provide to Us all reasonable assistance, at Our expense. If We receive information about an infringement or
misappropriationclaimrelatedtotheSupplementalDeveloperServices,WemayinOurdiscretionandatnocostto
You (i) modify the Supplemental Developer Services so that they no longer claimtoinfringeormisappropriate,
without
breaching
the
warranties
in
section
11.5 above, (ii) obtain a license for Your continued use of the
Supplemental
Developer
Services
in
accordance
with
this
Agreement,
or
(iii)
terminate
Your
Supplemental
DeveloperServiceUserSubscriptionsandrefundYouanyprepaidfeescoveringtheremainderofthetermofsuch
User Subscriptions aftertheeffectivedateoftermination.Theabovedefenseandindemnificationobligationsdo
notapplyif(I)theallegationdoesnotstatewithspecificitythattheSupplementalDeveloperServicesarethebasis
oftheClaim;(II)theClaimarisesfromtheuseorcombinationoftheDeveloperServicesoranypartthereofwith
software, hardware, data, or processes not provided by Us, if the services or use thereof would not infringe
withoutsuchcombination;(III)theClaimarisesfromservicesunderanOrderFormforwhichthereisnocharge;or
(IV) the Claim arises from Content, a Non-SFDC Application or Your breach of this Agreement, the Developer
Documentation or applicable Order Forms.
b.
Exclusive Remedy. Section 11.6.a.abovestatesOursoleliabilityandYourexclusiveremedyforanytypeofClaim
described in that section.
11.7.
Term and Termination
.
a.
Term of Supplemental Developer ServiceUserSubscriptions.SupplementalDeveloperServiceUserSubscriptions
purchased by You commence on the start date specified in the applicable Order Form and continue for the
subscriptiontermspecifiedtherein.ExceptasotherwisespecifiedintheapplicableOrderForm,allSupplemental
Developer
Service
User
Subscriptions
shall
automatically
renew
for
additional periods equal to the expiring
subscriptiontermoroneyear(whicheverisshorter),unlesseitherpartygivestheothernoticeofnon-renewalat
least30daysbeforetheendoftherelevantsubscriptionterm.Theper-unitpricingduringanysuchrenewalterm
shall be the same as thatduringthepriortermunlessWehavegivenYouwrittennoticeofapricingincreaseat
least30daysbeforetheendofsuchpriorterm,inwhichcasethepricingincreaseshallbeeffectiveuponrenewal
and thereafter. Any such pricing increase shall not exceed 7% over the pricing for the relevant Supplemental
DeveloperServicesintheimmediatelypriorsubscriptionterm,unlessthepricinginsuchpriortermwasdesignated
in the relevant Order Form as promotional or one-time.
b.
Termination for Cause. A party may terminate Supplemental Developer Service User Subscriptionsforcause:(i)
upon 30 days written notice to the other party of a material breach if such breach remains uncured at the
expiration of such period, or (ii) if theotherpartybecomesthesubjectofapetitioninbankruptcyoranyother
proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors.
c.
Refund or Payment upon Termination. Upon any terminationforcausebyYou,WeshallrefundYouanyprepaid
fees
covering the remainder of the term of all Supplemental Developer Service User Subscriptions after the
effective date of termination. Upon any terminationforcausebyUs,Youshallpayanyunpaidfeescoveringthe
remainderofthetermofallOrderFormsaftertheeffectivedateoftermination.Innoeventshallanytermination
relieve You of the obligation to pay any fees payable to Us for the period prior to the effective date of termination.

Each party agrees to the applicable governing law above without
regard to choice or conflicts of law rules, and to the exclusive jurisdiction of the applicable courts above.
13.4.WaiverofJuryTrial.
Eachpartyherebywaivesanyrighttojurytrialinconnectionwithanyactionorlitigationinany
way arising out of or related to this Agreement.
14. GENERAL PROVISIONS
14.1.ExportCompliance.
TheDeveloperServices,Content,otherSFDCtechnology,andderivativesthereofmaybesubject
toexportlawsandregulationsoftheUnitedStatesandotherjurisdictions.EachpartyrepresentsthatitisnotonanyU.S.
government denied-party list. You will not permit any User to access or use the Developer Services or Content in a
U.S.-embargoedcountryorregion(currentlytheCrimea,LuhanskorDonetskregions,Cuba,Iran,NorthKorea,orSyria)oras
may be updated from time to timeathttps://www.salesforce.com/company/legal/compliance/orinviolationofanyU.S.
export law or regulation.
14.2.Anti-Corruption
.Neitherpartyhasreceivedorbeenofferedanyillegalorimproperbribe,kickback,payment,gift,or
thing of value from an employee or agent of the other party in connection with this Agreement. Reasonable gifts and
entertainment provided in the ordinary course of business do not violate the above restriction
14.3. Third-Party Infrastructure.
You acknowledge and agree that theinfrastructureusedtohosttheDeveloperServices
and/or Your Data may be provided by a third-party hosting provider, such as, for example, Amazon Web Services, Inc.
14.4.RelationshipoftheParties.
Thepartiesareindependentcontractors.ThisAgreementdoesnotcreateapartnership,
franchise,
joint
venture,
agency, fiduciary or employment relationship between the parties. Each party will be solely
responsible for payment of all compensation owed to its employees, as well as all employment-related taxes.
14.5. No Third-Party Beneficiaries.
There are no third-partybeneficiaries to this Agreement.
14.6.Waiver.
NofailureordelaybyeitherpartyinexercisinganyrightunderthisAgreementwillconstituteawaiverofthat
right.
14.7.Severability.
IfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobecontrarytolaw,the
provision will be deemed null and void, and the remaining provisions of this Agreement will remain in effect.
14.8. Assignment.
Neither party may assign any of its rights or obligations hereunder, whether by operation of law or
otherwise, without the prior written consent of the other party (not to be unreasonably withheld); provided, however,
either partymayassignthisAgreementinitsentirety(includingallOrderForms),withouttheotherparty’sconsenttoits
Affiliateorinconnectionwithamerger,acquisition,corporatereorganization,orsaleofallorsubstantiallyallofitsassets.
Notwithstanding the foregoing, if a party is acquired by, sells substantially all of its assets to,orundergoesachangeof
controlinfavorof,adirectcompetitoroftheotherparty,thensuchotherpartymayterminatethisAgreementuponwritten
notice.
Subject to the foregoing, this Agreement shall bind and inure to the benefit of the parties, their respective
successors and permitted assigns.
14.9. Entire Agreement.
This Agreement, including all exhibits and addenda heretoandallOrderForms,constitutesthe
entire
agreement
between
the
parties
and
supersedes
all
prior
and
contemporaneous
agreements,
proposals
or
representations,writtenororal,concerningitssubjectmatter.Nomodification,amendment,orwaiverofanyprovisionof
thisAgreementshallbeeffectiveunlessinwritingandeithersignedoracceptedelectronicallybythepartyagainstwhom
themodification,amendmentorwaiveristobeasserted.However,totheextentofanyconflictorinconsistencybetween
the provisions in the body ofthisAgreementandanyexhibitoraddendumheretooranyOrderForm,thetermsofsuch
exhibit, or addendum or Order Form shall prevail. Notwithstanding any language to the contrary therein, no terms or
conditionsstatedinYourpurchaseorderorotherorderdocumentation(excludingOrderForms)shallbeincorporatedintoor
form any part of this Agreement, and all such terms or conditions shall be null and void.
14.10. Local Law Requirements: France.
If You aredomiciled in France, the following provisions shall be applicable:
(1)
Paragraph a. of section 11.5 is replaced by the following:

Developer
Services.
We
warrant
that
(i)
the Supplemental Developer Services shall perform materially in
accordance
with the Developer DocumentationUser Guide, and (ii) subject to Section 3.3 (Developer Service
FeaturesthatIntegratewithThird-PartyServices),thefunctionalityoftheSupplementalDeveloperServiceswillnot
be materially decreased during a subscription term.

14.10.4 Independence Towards Third Parties. For the avoidance of doubt, anythirdparties,includingthoseYou
contracted with to provide consulting and/or implementation services inrelationtotheDeveloperServices,are
independentofUsandWeshallinnoeventberesponsiblefortheiractsoromissions,includingwhensuchactsor
omissions impact Your use of the Developer Services.

IntheeventofanyconflictbetweenanystatutorylawinFranceapplicabletoYou,andthetermsandconditionsof
this Agreement, the applicable statutory law shall prevail.
14.11.LocalLawRequirements:Germany.
InYouaredomiciledinGermany,Section9“LimitationofLiability”,Section11.5
“Warranties Regarding Supplemental Developer Services”, and Section 11.6.b. “ExclusiveRemedy”ofthisAgreementare
replaced with the following sections respectively:
9. LIMITATION OF LIABILITY IF YOU ARE DOMICILED INGERMANY
9.1. Unlimited Liability.
The parties shall be mutuallyliable without limitation
(a)
in the event of willful misconduct or gross negligence,
(b)
within the scope of a guarantee taken over by the respective party,
(c)
in the event that a defect is maliciously concealed,
(d)
in case of an injury to life, body or health,
(e)
according to the German Product Liability Law.
9.2. Liability for Breach of Cardinal Duties.
If cardinal duties are infringed due to slight negligence andif,asa
consequence,
the
achievement
of
the
objective
of
this
Agreement
including
any
applicable
Order
Form
is
endangered, or inthecaseofaslightlynegligentfailuretocomplywithduties,theverydischargeofwhichisan
essential prerequisite for the proper performance of this Agreement (including anyapplicableOrderForm),the
parties’liabilityshallbelimitedtoforeseeabledamagetypicalforthecontract.Inallotherrespects,anyliabilityfor
damage caused by slight negligence shall be excluded.
9.3LiabilityCap.
Unlessthepartiesareliableinaccordancewith“UnlimitedLiability”sectionabove,innoevent
shalltheaggregateliabilityofeachpartytogetherwithallofitsAffiliatesarisingoutoforrelatedtothisAgreement
exceed the total amount paid by You and Your AffiliateshereunderfortheDeveloperServicesgivingrisetothe
liabilityinthe12monthsprecedingthefirstincidentoutofwhichtheliabilityarose.Theforegoinglimitationwill
notlimitYourandYourAffiliates’paymentobligationsunderthe“FeesandPaymentforSupplementalDeveloper
Services” section below.
9.4Scope.
Withtheexceptionofliabilityinaccordancewiththe“UnlimitedLiability”section,theabovelimitations
ofliabilityshallapplytoallclaimsfordamages,irrespectiveofthelegalbasisincludingclaimsfortortdamages.The
above limitations of liability also apply in the case of claims for a party’s damagesagainsttherespectiveother

party’s employees, agents or bodies.
11.5 WARRANTIES REGARDING SUPPLEMENTAL DEVELOPER SERVICES IF YOU ARE DOMICILED IN GERMANY
a.AgreedQualityoftheSupplementalDeveloperServices.Wewarrantthatduringanapplicablesubscriptionterm
(i)
SFDC
will
not
materially
decrease
the
overall
security
of
the
Supplemental
Developer
Services,
(ii)
the
Supplemental
Developer
Services
will
perform
materially
in
accordance
with
the
applicable
Developer
Documentation,and(iii)subjecttosection3.3above,SFDCwillnotmateriallydecreasetheoverallfunctionalityof
the Supplemental Developer Services.
b. Content. We are not designating or adopting Content as Our own and assume no warranty or liability for
Content. The parties agree that the “Reporting of Defects”, “Remedies resultingfromDefects”and“Exclusions”
sectionshallapplyaccordinglytoOurresponsibilityintheeventWearedeemedresponsibleforContentbyacourt
of competent jurisdiction.
c. Reporting of Defects.YoushallreportanydeviationoftheSupplementalDeveloperServicesfromthe“Agreed
QualityoftheSupplementalDeveloperServices”section(“Defect”)toUsinwritingwithoutunduedelayandshall
submitadetaileddescriptionoftheDefector,ifnotpossible,ofthesymptomsoftheDefect.Youshallforwardto
Us any useful information available to You for rectification of the Defect.
d. Remedies Resulting from Defects. We shall rectify any Defect within a reasonable period of time. If such
rectificationfails,YoumayterminatetherespectiveOrderFormprovidedthatWehadenoughtimeforcuringthe
Defect.Inthe“RefundorPaymentuponTermination”section,sentence1andsentence3shallapplyaccordingly.If
We are responsible for the Defect or if We are in default with the rectification, You may assert claims for the
damage caused in the scope specified in the “Limitation of Liability” section above.
e.DefectsinTitle.DefectsintitleoftheSupplementalDeveloperServicesshallbehandledinaccordancewiththe
provisions of Clause 11.6 “Indemnification for Supplemental Developer Services”.
f.Exclusions.YoushallhavenoclaimsunderthisClause11.5ifaDefectwascausedbytheSupplementalDeveloper
ServicesnotbeingusedbyYouinaccordancewiththeprovisionsofthisAgreement,theDeveloperDocumentation
and the applicable Order Forms.
11.6.b.LiabilityresultingfromIndemnificationifYouaredomiciledinGermany.
Theabove“LimitationofLiability
If
You
Are
Domiciled
in
Germany” section shall apply to any claims resulting from this “Indemnification for
Supplemental Developer Services” section.
14.12.LocalLawRequirements:Italy.
IfYouaredomiciledinItaly,Section11.3.b.“InvoicingandPayment”,Section11.3.c.
“Overdue
Charges,”
and
Section
14.2
“Anti
Corruption”
of
this
Agreement
are
replaced
with the following sections
respectively:
11.3.b. Invoicing and Payment.
(i) Invoicing and Payment. FeeswillbeinvoicedinadvanceandotherwiseinaccordancewiththerelevantOrder
Form. Unless otherwise stated in the Order Form, fees are due net 30 days from the invoice date.Theparties
acknowledgethatinvoicesarealsobesubmittedelectronicallybyUsinaccordancewiththe“ElectronicInvoicing”
sectionbelowthroughtheAgenziadelleEntrate’sExchangeSystem(SDI–SistemadiInterscambio)andanydelay
due to the SDI shall notaffecttheforegoingpaymentterm.Youshallberesponsibleforprovidingcompleteand
accurate billing and contact information to Us and shall notify Us of any changes to such information.
(ii)ElectronicInvoicing.Theinvoicewillbeissuedinelectronicformatasdefinedinarticle1,paragraph916,ofLaw
no. 205 of December 27, 2017, which introduced the obligationofelectronicinvoicing,startingfromJanuary1,
2019,forthesaleofgoodsandservicesperformedbetweenresidents,establishedoridentifiedintheterritoryof
theItalianState.Tofacilitatesuchelectronicinvoicing,YoushallprovidetoUsatleastthefollowinginformationin
writing:
Your
full
registered
company
name,
registered
office
address, VAT number, tax/fiscal code and any
additional
code
and/or
relevant
information
required
under
applicable
law.
In
any
event,
the
parties
shall
cooperatediligentlytoenablesuchelectronicinvoicingprocess.AnyerrorduetotheprovisionbyYouofincorrect
orinsufficientinvoicinginformationpreventing(a)UstosuccessfullysubmittheelectronicinvoicetotheSDIor(b)
theSDItodulyandeffectivelyprocesssuchinvoiceor(c)which,inanyevent,requiresUstoissueaninvoiceagain,
shall not result in an extension of the paymenttermsetoutinthe“InvoicingandPayment”sectionabove,and

suchtermshallstillbecalculatedfromthedateoftheoriginalinvoice.Wereservetherighttoprovideanyinvoice
copy in electronic form via email in addition to the electronic invoicing described herein.
(iii)SplitPayment.Ifsubjecttothe“splitpayment”regime,Weshallbeexclusivelyresponsibleforpaymentofany
VATamountdue,providedthatYoushallconfirmtoUstheapplicabilityofsuchregimeand,ifapplicable,Youshall
provide proof of such VAT payment to Us.
11.3.c.OverdueCharges.
Subjecttothe“PaymentDisputes”sectionbelow,ifanyinvoicedamountisnotreceived
byUsbytheduedate,thenwithoutlimitingOurrightsorremedies,thosecharges,withouttheneedfornoticeof
default,mayaccruelateinterestattherateof1.5%oftheoutstandingbalancepermonth,orthemaximumrate
permitted by law (Legislative Decree no. 231/2002), whichever is lower and/or (b) We may condition future
subscription renewals and Order Forms on payment terms shorter than those specified in the “Invoicing and
Payment” section above.
14.2. Anti-Corruption.
a. Anti-Corruption. Neither party has received or been offeredanyillegalorimproperbribe,kickback,payment,
gift,orthingofvaluefromanemployeeoragentoftheotherpartyinconnectionwiththisAgreement.Reasonable
gifts and entertainment provided in the ordinary course of business do not violate the above restriction.
b.CodeofConductandOrganization,ManagementandControlModel.YouacknowledgethatWehaveadoptedan
Organization,ManagementandControlModelpursuanttoLegislativeDecree231/2001topreventcrimesprovided
forthereinandcommitstocomplywiththeprinciplescontainedintheaboveLegislativeDecree231/2001andin
the Our Code of Conduct which is available at the following link: https://www.salesforce.com/content/dam/we
b/en_us/www/documents/legal/sfdc-code-of-conduct.pdf. You also acknowledge and agree that the violation of
theprinciplesandtheprovisionscontainedinLegislativeDecree231/2001andintheCodeofConductbyCustomer
mayentitleUs,basedontheseverityoftheviolation,toterminatethisAgreementforcauseassetoutinSection
11.7.b. above.
14.13.LocalLawRequirements:Spain.
IfYouaredomiciledinSpain,intheeventofanyconflictbetweenanystatutorylaw
in Spain applicable to You, and the terms and conditions of this Agreement, the applicable statutory law shall prevail.
14.14. Local Law Requirements: India.
If You are domiciledin India, the following shall apply:
(1)
Venue and Arbitration.
A.
Subjecttothe“Arbitration”sectionbelow,thecourtslocatedinBengaluru,Indiashallhaveexclusivejurisdiction
over anydisputerelatingtothisAgreement,andeachpartyherebyconsentstotheexclusivejurisdictionofsuch
courts. Without prejudice to the generality of the foregoing, the courts at Bengaluru,Indiashallhaveexclusive
jurisdiction on matters arising from, relating to, or in connection with an award made under the “Arbitration”
section below.
B. Arbitration. In the event of any dispute, controversy or claim between the parties hereto arising out of or
relating to this Agreement, the parties shall first seek to resolve the dispute in good faith through informal
discussion.Ifsuchdispute,controversy,orclaimcannotberesolvedinformallywithinaperiodof10(ten)business
daysfromthedateonwhichthedisputearose,thepartiesagreethatitshallbesettledbybindingarbitrationtobe
held before a panel consisting of 3 (three) arbitrators, where each party shall appoint an arbitrator and such
arbitrators shall appointthethirdandpresidingarbitrator.Thearbitrationshallbeconductedinaccordancewith
provisionsofthe(Indian)ArbitrationandConciliationAct,1996,asamendedfromtimetotime(“ArbitrationAct”).
TheseatandvenueofthearbitrationshallbeBengaluru,India.ThelanguageofthearbitrationshallbeEnglish.The
Parties agree that any of them may seek interim measures under section 9 of the Arbitration Act, including
injunctive relief in relation to the provisions of this Agreement or the Parties' performance ofitfromcourtsin
Bengaluru, India, without prejudice to any other rightthePartiesmayhaveundertheArbitrationActandother
applicable
laws.
The
arbitration panel's decision shall be final, conclusive and binding on the parties to the
arbitration. The Parties shall each pay one-half of the costs and expenses of such arbitration, and each shall
separately
pay
its
respective
counsel fees and expenses. The prevailing Party may, in the judgement of the
arbitration panel, be entitled to recover its fees and expenses. All dispute resolution proceedings, all matters
pertaining
to
such
proceedings
and
all
documents
and
submissions made pursuant thereto shall be strictly
confidential and subject to the provisions of “Confidentiality” section of this Agreement.

(i)InvoicingandPayment.UnlessotherwisestatedintherelevantOrderForm,fees(i)willbeinvoicedinadvance,

electronically by SFDC in accordance with the “Electronic Invoicing” section below through the Government of
India’s e-invoicing system (“GST Portal”) and any delay due to such submission shall not affect the foregoing
paymentterm.YoushallberesponsibleforprovidingcompleteandaccuratebillingandcontactinformationtoUs
and shall notify Us of any changes to such information
(ii)ElectronicInvoicing.YoushallprovidetoUsatleastthefollowinginformationinwritingtofacilitateelectronic
invoicing:

name,
registered
office
address,
goods and services tax
identificationnumber,addressand/orrelevantinformationrequiredunderapplicablelaw.Inanyevent,theparties
shallcooperatediligentlytoenablesuchelectronicinvoicingprocess.Anyerror/delayinissuanceoftheelectronic
invoice due to: (a) the provision by You of incorrect or insufficient invoicing information preventing Us from
successfullysubmittingtheelectronicinvoicetotheGSTPortal;or(b)theGSTPortaland/oranyothergovernment
authority(ortheirdesignatedagent/agency)notbeingabletodulyandeffectivelyprocesssuchinvoice;or(c)any
eventwhichrequiresUstoissueaninvoiceagain;shallnotresultinanextensionofthepaymenttermsetoutin
the “Invoicing and Payment” section above, and such term shallstillbecalculatedfromthedateoftheoriginal
invoice.Wereservetherighttoprovideanyinvoicecopyinelectronicformviaemailinadditiontotheelectronic
invoicing described herein.
14.13.
Local
Law
Requirements:
United
Kingdom.
If You are domiciled in the United Kingdom, Section 14.9 “Entire
Agreement” of this Agreement is replaced with the following section:
14.9 Entire Agreement.
This Agreement is the entire agreement between Us and You regarding Your use of
Developer
Services
and
Content
and
supersedes
all
prior
and
contemporaneous
agreements,
proposals
or
representations,writtenororal,concerningitssubjectmatter.Norepresentation,undertakingorpromiseshallbe
takentohavebeengivenorbeimpliedfromanythingsaidorwritteninnegotiationsbetweenthepartiespriorto
thisAgreementexceptasexpresslystatedinthisAgreement.Neitherpartyshallhaveanyremedyinrespectofany
untruestatementmadebytheotheruponwhichthatpartyreliedinenteringthisAgreement(unlesssuchuntrue
statementwasmadefraudulently)andthatparty'sonlyremediesshallbeforbreachofcontractasprovidedinthis
Agreement. The parties agree that any term or condition stated in Your purchase order or in any other order
documentation(excludingOrderForms)isvoid.Intheeventofanyconflictorinconsistencyamongthefollowing
documents, the order of precedence shall be: (1) the applicable Order Form, (2) this Agreement, and (3) the
Documentation.TitlesandheadingsofsectionsofthisAgreementareforconvenienceonlyandshallnotaffectthe
construction of any provision of this Agreement.
